the sequence and what each step rests on
| # | instrument | what it does | why it sits here |
|---|---|---|---|
| 1 | perjanjian sewa fedorov | leases part of HGB 00048/Gesing — 1,272.37 m², 26 years 5 months 2 days to 02.02.2053, USD 20,000 for the whole term | the principal deed; everything else in the pack annexes to it |
| 2 | adendum pembayaran bertahap | 30% at signing, the USD 14,000 balance in full by 31 December 2026, at a fixed dollar figure with no interest and no indexation | an addendum exists only once its agreement does |
| 3 | leasehold agreement | title-failure exit, no-encumbrance covenant, insolvency continuity, hak pakai and HGB conversion routes, mandatory buy-back of buildings at term end | protections that attach to a lease already granted |
why land follows entry
The lease is granted to a person who, by the time it is signed, already holds the office and the shareholding that pack 1 confers. Signing the land first would let a lease run to someone whose position in the company is still contingent on a closing that has not happened.
form
One notarial deed — perjanjian sewa fedorov, before Notary I Wayan Paramarta Jaya, S.H., M.Kn. The addendum and the protections deed are private instruments carrying the terms the notarial form leaves out.
